Contractual rules for our services

This page sets out the contractual rules for our services to businesses and consumers, including the withdrawal notice. Information on data protection is provided separately in the Privacy Policy.

Last updated: 2026-11-07

1. Scope and definitions

These Terms of Service apply to contracts between Fernando Stepien, sole proprietor, who carries on his business under the trade name “Stepien Digital”, Hauptstraße 23, 76549 Hügelsheim (“we”), and his clients for websites, Google Business Profile management, photography, video, drone footage, Stepien Inside and other digital services, and for Stepien Digital Reviews where it is agreed in future. Stepien Digital is not a separate legal entity; the client's contracting party is Fernando Stepien as sole proprietor.

We work for businesses and for consumers. A consumer is any natural person who concludes a contract predominantly for private purposes (Section 13 BGB, German Civil Code). A business (Unternehmer) is anyone who, when concluding the contract, acts in the exercise of their commercial or independent professional activity (Section 14 BGB). Provisions that apply only to one of these groups are expressly marked.

Individual agreements, in particular the quote, take precedence over these terms. For businesses, the client's own terms and conditions apply only if we expressly agree to them in text form. These terms do not restrict the statutory rights of consumers.

2. Conclusion of contract

Descriptions and prices on the website are not a binding offer. A contract is concluded through our individual quote and its acceptance by the client, for example by signature or confirmation by email. Ordering through the website is currently not possible.

Contracts may be concluded in person at our business premises, in person outside our business premises (for example at the client's location) or exclusively by means of distance communication such as email or telephone. Depending on how the contract is concluded, consumers may have a right of withdrawal (Section 18).

The contract language is German. Versions in other languages are provided for information. The client receives the quote and these terms in text form.

3. Information for consumers before conclusion of the contract

For consumers only: before the contract is concluded, consumers receive with the quote, in a clear and comprehensible manner, in particular the main characteristics of the service, the total price including all taxes and costs, the payment and performance terms, the time of performance, the term and termination conditions for ongoing services, information on any right of withdrawal and a reference to the statutory rights in case of defects.

4. Services and client cooperation

The type and scope of the services are set out in the quote. The client provides the agreed information, content, access and approvals in good time. Delays caused by missing or late cooperation extend agreed dates appropriately.

Access and permissions for productions
The client ensures access to the agreed premises and obtains necessary consents, for example from the owner, for private areas and from people who are to be recorded in a recognisable way. The client informs us in advance of special restrictions (for example patients, employees, minors, restricted areas).
Minors
If minors are to be recorded in a recognisable way, the client obtains the consent of their legal guardians in advance. We may ask for proof and do not deliberately record minors in a recognisable way without proof.

5. Dates, acceptance and revisions

Dates
Delivery and production dates are binding if they are designated as binding in the quote. If a production date has to be postponed for reasons for which neither party is responsible (for example weather for outdoor or drone footage), we agree on a new date.
Revision rounds
The number of revision rounds included is set out in the quote. Further change requests beyond the agreed scope are charged separately by agreement.
Acceptance of work results
The client accepts work results such as websites, images or Stepien Inside experiences if they essentially conform to the contract; minor defects do not entitle the client to refuse acceptance. A work is deemed accepted if, after completion, we have set the client a reasonable deadline for acceptance and the client has not refused acceptance within that deadline, stating at least one defect. For consumers, this effect only applies if, together with the request for acceptance, we have informed them of this consequence in text form.

6. Drone footage

We only carry out drone flights if aviation rules, safety, weather and airspace permit. If a flight is not possible on the agreed date, we agree on a new date or offer another type of footage. There is no entitlement to drone footage at a particular time where the reasons are beyond our control. Fees already paid for drone services not provided are credited or refunded.

7. Ongoing services and subscriptions

Ongoing services include, for example, hosting and maintenance of websites, the publication of Stepien Inside experiences, Google Business Profile management and, where agreed in future, Stepien Digital Reviews. The term, renewal and notice period are set out in the quote.

For consumers
The initial term is no more than two years. If the contract is tacitly extended after it ends, then only for an indefinite period; it can then be terminated at any time with notice of no more than one month. The notice period to the end of the initial term is no more than one month.
For businesses
The term, renewal and notice period agreed in the quote apply.
Form of termination
Termination is possible in text form, for example by email to [email protected]. The right to terminate for good cause remains unaffected.

8. Price changes for ongoing services

For consumers
A price increase only takes effect if the consumer expressly agrees to it. If the consumer does not agree, the contract continues on the previous terms until it ends in accordance with Section 7.
For businesses
We announce price changes in text form at least six weeks before they take effect. The client may terminate the contract concerned with effect from that date until the change takes effect; we point this out in the announcement.

9. Fees and payment

Fees, due dates and payment method are set out in the quote and the invoice. For consumers, we state total prices including statutory VAT. In case of late payment, the statutory rules apply.

10. Copyright and usage rights

Copyright
Copyright in the works we create (for example photos, videos, 360° footage, texts, designs) remains with the respective author. The client receives usage rights in accordance with the following rules.
Scope of usage rights
Unless otherwise agreed in the quote, the client receives a simple (non-exclusive), non-transferable right of use for the agreed purpose. For consumers, this is private use. The rights pass upon full payment of the respective fee. Raw data and open project files are only owed if this has been agreed.
Transfer and editing
Passing on, sublicensing or marketing the works beyond the agreed purpose, as well as edits that go beyond customary adjustments, require our prior consent.
Stepien Inside
Stepien Inside experiences are published on stepiendigital.com. The right to use an experience and embed it in the client's own website exists for the agreed duration of publication.

11. References and portfolio

For businesses
We may name the client as a reference and show work results on our website, on social networks and in presentations, unless otherwise agreed. The client can object to this at any time in text form with effect for the future; if a project is to remain confidential from the outset, the client informs us before the first publication.
For consumers
We only show work results for consumers with their express consent.
Recognisable people
For footage in which people are recognisable, our Privacy Policy (Section 14) also applies.

12. Content provided by the client

If the client provides content (for example logos, texts, images, videos, music), the client warrants that it holds the necessary rights and that use within the agreed scope does not infringe third-party rights.

For businesses only: if third parties assert claims against us because of such content, the client indemnifies us against justified claims, including reasonable costs of legal defence, insofar as the client is responsible for the infringement. For consumers, the statutory rules apply.

13. Google Business Profile management

Ownership
The business profile belongs to the client. We work on it only as a manager added by the owner and do not become primary owner without an express agreement in text form.
End of management
At the client's request or at the end of the contract, we give up our permissions on the profile within seven working days (Monday to Friday, excluding public holidays), so that the client has sole control.
Google's services
Google Business Profile is a service provided by Google. Our fees relate only to our own services. Google may change features and rules at any time; we do not owe particular rankings, reviews or a particular visibility. We are not an official Google partner.

14. Stepien Digital Reviews

Where Stepien Digital Reviews is agreed and provided in future, the provisions of this section apply. Stepien Digital Reviews is intended for businesses and is provided via portal.stepiendigital.com. Which features are used depends on the agreed package.

Access
The client receives personal access for the responsible person. Access credentials must be kept confidential and must not be shared.
Authorizations
Stepien Digital Reviews is currently not offered commercially. A separate client authorization per location for AI reply suggestions and for publishing replies on Google is planned for a later version of the application. Whether and to what extent these features will be used in future depends on the authorizations then granted, the agreed package and the terms of the platforms involved, in particular Google and OpenAI. The current state of the application is described in the Privacy Policy (Sections 9 to 11).
Approval before publication
Replies are only published after individual approval by an authorized person at Stepien Digital. AI drafts are suggestions and are not published without approval.
Client duties
Contact details shown to the client with consent may only be used to respond to the respective feedback, not for advertising. Reviews must not be bought or influenced by incentives.
Pausing
When a client is paused or cancelled, no operations with Google take place and the public feedback form is unavailable.
Data processing on behalf
Where we process personal data on behalf of the client in this context, the parties conclude a data processing agreement under Art. 28 GDPR.

15. Availability and third-party platforms

We strive for high availability of our systems. We only owe a particular availability if it has been agreed in the quote. Services that rely on third-party platforms (for example Google, OpenAI, Cloudflare, hosting providers) depend on their availability and terms. If a third party changes its interfaces or rules, it may be necessary to adapt or restrict features; the client's statutory rights remain unaffected.

16. Rights in case of defects

For consumers
The statutory rights in case of defects apply, for digital products including the provisions on digital products (Sections 327 et seq. BGB). These rights are not restricted.
For businesses
The statutory rights in case of defects apply, with the proviso that claims for defects in work results become time-barred one year after acceptance. This does not apply to damages claims under Section 17, in case of fraudulent intent, or where the law mandatorily provides for longer periods.

17. Liability

We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act and to the extent of a guarantee we have given.

In case of slightly negligent breach of an essential contractual obligation, the fulfilment of which makes proper performance of the contract possible in the first place and on compliance with which the client may regularly rely, our liability is limited to the foreseeable damage typical for the contract. Otherwise, liability for slight negligence is excluded.

These rules also apply to our vicarious agents. Section 12 applies to content provided by the client.

18. Right of withdrawal for consumers

For consumers only: for contracts concluded outside our business premises or exclusively by means of distance communication, consumers have a statutory right of withdrawal in accordance with the following withdrawal notice. Statutory exceptions (Section 312g(2) BGB) remain unaffected; we state in the quote whether an exception applies. Businesses have no statutory right of withdrawal.

Start of performance during the withdrawal period: we only start performing before the withdrawal period expires if the consumer expressly requests this; for contracts concluded outside our business premises, the request must be made on a durable medium. The right of withdrawal does not lapse automatically as a result. For services, it only lapses once we have performed the service in full and the consumer has previously expressly consented and acknowledged that they lose their right of withdrawal upon full performance of the contract. If the consumer withdraws after such a request, they owe compensation for the services provided up to that point in accordance with the withdrawal notice.

Digital content not supplied on a tangible medium: the right of withdrawal lapses if we have begun performance after the consumer has expressly consented to our beginning before the withdrawal period expires, has acknowledged that they thereby lose their right of withdrawal, and we have provided them with a confirmation of the contract.

19. Withdrawal notice

Right of withdrawal
You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the day of the conclusion of the contract. To exercise the right of withdrawal, you must inform us (Fernando Stepien, Stepien Digital, Hauptstraße 23, 76549 Hügelsheim, Germany, email: [email protected], phone: +49 171 533 0645) of your decision to withdraw from this contract by an unequivocal statement (e.g. a letter sent by post or email). You may use the attached model withdrawal form, but it is not obligatory. To meet the withdrawal deadline, it is sufficient for you to send your communication concerning your exercise of the right of withdrawal before the withdrawal period has expired.
Effects of withdrawal
If you withdraw from this contract, we shall reimburse to you all payments received from you, including the costs of delivery (with the exception of the supplementary costs resulting from your choice of a type of delivery other than the least expensive type of standard delivery offered by us), without undue delay and in any event not later than fourteen days from the day on which we are informed about your decision to withdraw from this contract. We will carry out such reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event, you will not incur any fees as a result of such reimbursement. If you requested to begin the performance of services during the withdrawal period, you shall pay us an amount which is in proportion to what has been provided until you have communicated us your withdrawal from this contract, in comparison with the full coverage of the contract.

20. Model withdrawal form

(Complete and return this form only if you wish to withdraw from the contract.)

To Fernando Stepien, Stepien Digital, Hauptstraße 23, 76549 Hügelsheim, Germany, email: [email protected], phone: +49 171 533 0645:

I/We (*) hereby give notice that I/We (*) withdraw from my/our (*) contract of sale of the following goods (*)/for the provision of the following service (*),

Ordered on (*)/received on (*) – Name of consumer(s) – Address of consumer(s) – Signature of consumer(s) (only if this form is notified on paper) – Date

(*) Delete as appropriate.

21. End of the contract

The statutory rights of termination, in particular the client's right to terminate a contract for work until the work is completed (Section 648 BGB), remain unaffected. When a contract for ongoing services ends, access to the portal ends; we give up permissions on Google Business Profiles in accordance with Section 13. We return or delete data processed on behalf of the client in accordance with the client's instructions; where a data processing agreement has been concluded, that agreement applies. Otherwise the Privacy Policy applies.

22. Complaints and dispute resolution

Please send complaints to [email protected]. We are neither willing nor obliged to take part in dispute resolution proceedings before a consumer arbitration board. The European Commission's online dispute resolution platform has been discontinued.

23. Final provisions

The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods. For consumers, this choice of law applies only insofar as it does not deprive them of the protection of mandatory provisions of the law of the state in which they have their habitual residence.

Should any provision be invalid, the remainder of the contract remains valid. For existing contracts, the version of these terms agreed at the conclusion of the contract applies; changes only become part of the contract with the client's consent.

24. Contact

Please send questions about these terms to [email protected]. Full provider details are set out in the Impressum.

These terms are provided in English for information. The contract language is German; in case of discrepancies, the German version prevails.
